Welcome to TNP Learning & Advisory (“Company,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your use of our services, programs, courses, training sessions, and advisory offerings (collectively, “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please refrain from using our Services.

TNP Learning & Advisory is a professional training and advisory institution that provides educational programs, consultancy, coaching, and advisory solutions for individuals, professionals, and organizations. These Terms & Conditions set out the rules, rights, and obligations applicable to all participants, clients, and users of our Services.

By engaging with us—whether online or in person—you confirm that you are legally capable of entering into a binding agreement and that you will comply with all applicable laws and these Terms.

  2. Invoicing: Invoices must be paid within the specified timeframe. Failure to pay may result in suspension of access.

  3. Refund Policy: Unless otherwise stated, fees are non-refundable once a Service has commenced. Refund requests prior to commencement will be considered on a case-by-case basis.

  4. Taxes: Clients are responsible for any applicable taxes, duties, or charges imposed by relevant authorities.


6. Use of Services

You agree to use our Services solely for lawful purposes and in accordance with these Terms. Specifically, you must not:

  • Copy, reproduce, or distribute training materials without written permission.

  • Record or share training sessions unless explicitly allowed.

  • Engage in disruptive, abusive, or unlawful conduct during programs.

7. Intellectual Property

  1. Ownership: All content, materials, and resources provided by TNP Learning & Advisory—including but not limited to training manuals, presentations, software, logos, graphics, and text—are owned by us or our licensors.

  2. License: You are granted a limited, non-transferable, non-exclusive license to use the materials solely for personal or organizational learning purposes.

  3. Restrictions: You may not modify, resell, or commercially exploit any of our intellectual property without prior consent.


8. Confidentiality

During advisory or consultancy engagements, both parties may share confidential information. Each party agrees to:

  • Use such information solely for the intended purpose.

  • Not disclose it to unauthorized third parties.

  • Take reasonable measures to safeguard confidentiality.

This obligation does not apply to information already in the public domain, disclosed under legal requirements, or independently developed without reference to confidential data.


9. Data Protection & Privacy

We respect your privacy and handle personal data in accordance with applicable data protection laws. By using our Services, you consent to the collection, storage, and use of your information as outlined in our Privacy Policy.

You are responsible for ensuring the accuracy of personal data you provide.


10. Code of Conduct

All participants are expected to maintain professionalism and respect during programs. Prohibited behavior includes:

  • Harassment, discrimination, or offensive remarks.

  • Plagiarism or academic dishonesty.

  • Unauthorized use of company resources.

We reserve the right to remove participants who breach this Code of Conduct without refund.


11. Third-Party Services

Our Services may include links to or integrations with third-party websites or tools. We are not responsible for the content, accuracy, or availability of such third-party services. Your use of them is at your own risk and subject to their terms and policies.


12. Limitation of Liability

To the fullest extent permitted by law:

  • We do not guarantee that our Services will always be uninterrupted, error-free, or suited to your exact needs.

  • We are not liable for indirect, incidental, or consequential damages arising from your use of our Services.

  • Our total liability for any claim shall not exceed the amount you paid for the Service in question.

All training, courses, and advisory sessions are provided “as is” for educational and informational purposes. While we strive for accuracy and relevance, outcomes may vary depending on participants’ effort, application, and context. We do not guarantee specific results such as promotions, business growth, or financial success.


14. Termination

We may suspend or terminate your access to our Services if you:

  • Breach these Terms.

  • Engage in misconduct or misuse of our resources.

  • Fail to make required payments.

Upon termination, your right to use the Services ceases immediately, and outstanding obligations remain enforceable.


15. Amendments

We reserve the right to amend these Terms at any time. Updates will be posted on our website with the revised effective date. Continued use of our Services after changes indicates acceptance of the updated Terms.


16. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of 121/51. Any disputes arising shall first be resolved amicably through negotiation. If unresolved, disputes will be submitted to the competent courts of 17/119


17. Force Majeure

We are not liable for delays or failure to deliver Services caused by circumstances beyond our reasonable control, including natural disasters, pandemics, labor disputes, government actions, or technical disruptions.
